Mutual Non-Disclosure Agreement Each Party agrees to protect the other’s Confidential Information using reasonable care and to use it solely for purposes of this MSA. Obligations survive for five years. Limitation of Liability Provider’s total liability under any SOW shall not exceed the total fees paid by Client under that SOW. Governing Law This MSA is governed by the laws of the State of Tennessee. Disputes shall be resolved in the state or federal courts located in Davidson County, Tennessee. AI-Specific Liability Alchemy Agentic is the responsible deployer for all AI outputs delivered under this MSA. As of 2026, California Civil Code § 1714.46 [N] and EU Product Liability Directive principles [N] establish that deployers—not autonomous agents—are liable for AI-driven harm. Client acknowledges that generic software disclaimers are insufficient. Provider shall not be liable for hallucinations, unsupervised agent actions, or decisions made by Client without human review. Client must maintain human oversight of all AI outputs before acting upon them. Commercialization Addendum Provider retains all background IP and pre-existing tools. Client owns the specific implementation built for its internal use. If Client commercializes the implementation beyond internal use, a revenue-share arrangement (5–15%) applies and Provider retains a servicing and maintenance role.
